1. Introduction
This Agreement sets forth the terms and conditions under which the Service Provider agrees to provide website redesign, development, SEO services, and ongoing maintenance services (the "Services") to the Client, Matt Billing (the "Client").

2. Scope of Services
The Service Provider will deliver the following services to the Client:

2.1 Website Redesign

• Platform: The website will be built on WordPress for flexibility, scalability, and ease of management.
• Design & Aesthetics: A modern, clean design with an intuitive navigation structure, custom page layouts reflecting the Client's branding and services, mobile-responsive design, and high-quality, fast-loading images and graphics.
• User Experience: Optimized navigation for easy access to information, clear calls-to-action (CTAs) for lead generation, and a content structure that enhances readability and engagement.

2.2 Website Development

• Theme Customization: A custom WordPress theme developed or modified to match Matt Billing’s branding.
• Content Management System (CMS): Setup of CMS for easy content updates and management by the Client’s team.
• Functionality: Contact forms with form validation, integration with Google Analytics, social media integration, client testimonials or case studies section, and a blog or news section for regular updates.

2.3 Search Engine Optimization (SEO)

• Keyword Research and Optimization: Comprehensive keyword research for Matt Billing’s business, followed by the integration of high-ranking keywords into content, headers, and meta tags.
• On-Page SEO: Optimization of title tags, meta descriptions, header tags, image alt text, file names, and internal linking structure.
• Technical SEO: Page load speed optimization, mobile optimization, and URL structure optimization.
• SEO Audit and Reporting: Performance audit of the existing website, followed by a detailed SEO report showing improvements in rankings and traffic.

2.4 Ongoing SEO Maintenance

• Monthly SEO Monitoring and Reporting: Regular updates on keyword performance, rankings, and website analytics.
• Content Updates: Ongoing support for updating and enhancing website content to maintain SEO health.

2.5 Performance Testing and Launch

• Quality Assurance Testing: Testing of website features, functions, and responsiveness across multiple browsers and devices.
• Launch Plan: A smooth transition plan from the old website to the redesigned site, ensuring minimal downtime.
• Post-launch Support: Support for addressing immediate issues or feedback after the website launch.

3. Service Timeline
The estimated time to complete the website redesign, development, and initial SEO setup is . Ongoing SEO services will begin once the initial setup is completed.

4. Fees and Payment Terms
The Client agrees to pay the Service Provider the following amounts for the Services:

• Website Redesign (Design & Development): 25,000 PKR
• SEO Setup (Initial Optimization): 20,000 PKR
• Ongoing SEO Services (per month): 30,000 PKR
• Content Creation & Copywriting: 5,000 PKR
• VoIP Cost: 0.007 USD per minute
• VoIP SMS Cost: 0.008 varies each State
• Linux Machine Hosting: 150 USD per month
• SMS Module: 100 USD per year

Total Estimated Cost for One Year: 80,000 PKR (for services above, excluding VoIP and hosting charges).

Payment Schedule:

• A 50% deposit of the total project cost is due upon signing this Agreement.
• The remaining 50% is due upon completion of the website and SEO setup.

Ongoing SEO services will be billed monthly at the agreed rate of 30,000 PKR per month.

5. Client Responsibilities
The Client agrees to:

• Provide timely access to all necessary materials, information, and content for the project.
• Review deliverables promptly and provide feedback.
• Ensure timely payments in accordance with the payment schedule.

6. Ownership and Rights
Upon completion and full payment, the Client will own the rights to all materials, designs, and content developed for the website. The Service Provider retains the right to display the work in their portfolio and promotional materials unless otherwise agreed in writing.

7. Confidentiality
Both parties agree to maintain confidentiality regarding proprietary information and trade secrets shared during the course of the project. This obligation will survive the termination of the Agreement.

8. Warranty and Support
The Service Provider warrants that all work will be completed in a professional manner and that the website will function as intended. Post-launch support will be provided for a period of to address any immediate issues. Ongoing support can be arranged for an additional fee.

9. Termination
Either party may terminate this Agreement with written notice if the other party fails to meet their obligations. In the event of termination, the Client agrees to pay for all work completed up to the termination date.

10. Limitation of Liability
The Service Provider’s liability for any claims arising from this Agreement will be limited to the total amount paid by the Client for the services provided.

11. Dispute Resolution
Any disputes arising from this Agreement will be resolved through in . Both parties agree to make a good-faith attempt to resolve any issues before resorting to formal proceedings.

12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of .

13. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings.
